Upgrading from a 32Bit to 64Bit version requires a "Custom" / Clean install of Windows.
However since your key was already activated, you may need to activate by phone this time around (see the end of my response). The Windows 7 product key will activate both 32 and 64Bit versions, so that is not an issue.
